Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Quanteron ("Company," "we," "us," or "our") regarding your access to and use of our website and services.

By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our website or services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of our services constitutes acceptance of the modified Terms.

Our Services

Quanteron is a software development agency providing custom software development, web application development, mobile application development, SaaS development, API development, and related consulting services.

Our services include but are not limited to:

• Custom software development and engineering
• Web application design and development
• Mobile application development (iOS and Android)
• SaaS platform development
• API development and integration
• Cloud infrastructure setup and management
• Technical consulting and advisory services
• Maintenance and support services

Service Engagement

Project Agreements

All software development projects will be governed by a separate project agreement or statement of work ("SOW") that outlines specific terms, deliverables, timelines, and pricing. These Terms supplement but do not replace any project-specific agreements.

Estimates and Quotes

Any estimates or quotes provided are based on the information available at the time and are subject to change. Final pricing will be confirmed in a signed agreement before work commences.

Payment Terms

Payment terms, including schedules, methods, and conditions, will be specified in the project agreement. Unless otherwise stated:

• Invoices are due within 15 days of receipt
• Late payments may incur interest charges
• Work may be suspended for overdue payments

Intellectual Property Rights

Client Work Product

Upon full payment, clients receive ownership of the custom work product created specifically for their project, as defined in the project agreement. This does not include:

• Pre-existing materials or tools owned by Quanteron
• Third-party libraries, frameworks, or components
• General knowledge, skills, or techniques

Our Intellectual Property

The Quanteron name, logo, website content, and all associated branding are our intellectual property. You may not use, reproduce, or distribute our intellectual property without written permission.

Portfolio Rights

We reserve the right to showcase completed projects in our portfolio, unless explicitly prohibited in the project agreement. Client logos and names may be used for reference purposes only.

Confidentiality

We understand the importance of protecting your confidential information. We agree to:

• Keep all proprietary information confidential
• Use confidential information only for the purposes of providing services
• Not disclose confidential information to third parties without consent
• Implement appropriate security measures to protect your information

Confidentiality obligations survive the termination of any agreement. For projects requiring enhanced confidentiality, we can execute a separate Non-Disclosure Agreement (NDA).

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. If any deliverable fails to meet the agreed specifications, we will correct it at no additional cost within a reasonable time.

Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTERON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR OUR SERVICES.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Quanteron and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Termination

Either party may terminate a service engagement as outlined in the applicable project agreement. In the absence of specific termination provisions:

• Either party may terminate with 30 days written notice
• Immediate termination is permitted for material breach
• Client shall pay for all work completed up to termination
• Upon termination, all client materials will be returned

Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved as follows:

• Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiation.
• Mediation: If negotiation fails, the parties agree to attempt mediation before pursuing other remedies.
• Jurisdiction: These Terms shall be governed by the laws of Bangladesh, and any legal proceedings shall be conducted in the courts of Dhaka, Bangladesh.

Website Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to any part of the website
• Interfere with the proper functioning of the website
• Transmit any viruses, malware, or harmful code
• Collect user information without consent
• Copy, modify, or distribute website content without permission

General Provisions

Entire Agreement

These Terms, together with any project agreements, constitute the entire agreement between you and Quanteron regarding the subject matter herein.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
